Welcome to LaunchPad. These Terms of Service ("Terms") govern your access to and use of LaunchPad's website, software, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization and representing that you have the authority to bind that organization to these Terms.

LaunchPad provides a business planning platform that includes tools for:

• Business idea generation and validation
• Business plan creation and editing
• Financial projections and modeling
• Pitch deck generation
• Loan pre-screening and application assistance
• Tax planning tools and calculators
• Educational resources and guidance

The Service may use artificial intelligence (AI) to generate content and recommendations. All AI-generated content is provided for informational purposes only and should be reviewed and customized by users before use.

3.1 Account Creation: To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Account Restrictions: You may not: (a) share your account credentials with others; (b) use another user's account without permission; (c) create multiple accounts for the same person or entity to circumvent subscription limits; or (d) transfer your account to another party without our prior written consent.

4.1 Plans: LaunchPad offers different subscription tiers (Starter, Builder, Accelerator) with varying features and limits. Plan details are available on our pricing page.

4.2 Billing: Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on a recurring basis until you cancel your subscription.

4.3 Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will not affect your current billing period but will apply to subsequent renewals unless you cancel before the renewal date.

4.4 Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial billing periods.

4.5 Free Trial: We may offer a free trial period. If you do not cancel before the trial period ends, you will be automatically charged for a paid subscription.

4.6 Failed Payments: If a payment fails, we may suspend your access to paid features until payment is successfully processed. We may retry failed payments for up to 30 days.

5.1 Your Content: You retain ownership of all content you create, upload, or submit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely to provide the Service.

5.2 Content Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to submit it. You agree not to submit content that: (a) infringes third-party intellectual property rights; (b) contains malware or harmful code; (c) violates any law or regulation; or (d) is defamatory, obscene, or harassing.

5.3 AI-Generated Content: Content generated by our AI tools is provided "as-is" for your use and modification. While we use commercially reasonable efforts to provide accurate content, AI-generated content may contain errors or inaccuracies and should be reviewed by you before use.

5.4 Our Intellectual Property: The Service, including its software, design, text, graphics, and other content (excluding User Content), is owned by LaunchPad and protected by copyright, trademark, patent, and other intellectual property laws. LaunchPad's proprietary AI-driven business planning, financial modeling, tax optimization, and loan matching processes are protected by pending U.S. provisional patent application. Unauthorized use, reproduction, or reverse engineering of our patented processes is strictly prohibited.

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers/networks connected to it
• Use automated scripts or bots to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Service to compete with us or build a similar product
• Attempt to replicate, copy, or reverse engineer our patented AI processes and methodologies
• Resell or redistribute the Service without authorization
• Submit false, misleading, or fraudulent information
• Abuse our AI generation features by generating excessive content or spam

7.1 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Security: We implement reasonable security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

7.3 Data Retention: We retain your data for as long as your account is active or as needed to provide the Service. You may request deletion of your data by contacting us.

7.4 Backups: We regularly back up user data, but we are not responsible for data loss due to technical failures, user error, or other causes. You are responsible for maintaining your own backups of important data.

8.1 No Professional Advice: THE SERVICE IS FOR INFORMATIONAL PURPOSES ONLY. LaunchPad does not provide legal, financial, tax, or investment advice. Content generated by the Service, including AI-generated content, should not be relied upon as professional advice. You should consult qualified professionals for advice specific to your situation.

8.2 No Guarantee of Results: We do not guarantee that using the Service will result in successful funding, business success, tax savings, or any particular outcome. Results depend on many factors outside our control.

8.3 Third-Party Services: The Service may integrate with or link to third-party services (e.g., lenders, accounting software, payment processors). We are not responsible for third-party services and make no warranties regarding them.

8.4 Service Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or technical issues.

8.5 "AS-IS" Basis: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAUNCHPAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless LaunchPad and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

11.1 By You: You may terminate your account at any time through your account settings or by contacting us. Termination does not entitle you to a refund for any prepaid fees.

11.2 By Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We may terminate immediately if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

11.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your User Content after a reasonable period following termination. Sections of these Terms that by their nature should survive termination will survive.

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION TO BE DETERMINED - ATTORNEY TO ADVISE], without regard to its conflict of law provisions.

13.2 Informal Resolution: Before filing a formal dispute, you agree to contact us at support@launchpad.com to attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration: If we cannot resolve a dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. The arbitration will be conducted in [ARBITRATION LOCATION TO BE DETERMINED - ATTORNEY TO ADVISE], and judgment on the arbitration award may be entered in any court having jurisdiction.

13.4 Class Action Waiver: You agree that disputes will be resolved on an individual basis and that you will not bring or participate in any class action, consolidated action, or representative action against us.

13.5 Exceptions: Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or misuse of confidential information.

14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LaunchPad regarding the Service.

14.2 Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

14.3 Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.4 Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, natural disasters, or internet/utility failures.

14.6 Export Compliance: You may not use or export the Service in violation of U.S. export laws and regulations or any other applicable export control laws.
