1. Parties

This Beta Tester, Affiliate, and Sales Team Agreement ("Agreement") is entered into as of February 24, 2026, between:

• Platform: LaunchPad, operated by Alpha LPad Enterprises, LLC ("the Company"), a business platform providing tools for entrepreneurs and small business owners.
• Beta Tester / Affiliate / Sales Team Member: Demont Bagby ("Participant"), an individual entering into this Agreement in multiple capacities as described herein.

2. Background & Purpose

LaunchPad is currently in its beta phase and is seeking experienced individuals to test the platform, provide feedback, and assist in growing its user base. Demont Bagby has been selected to participate as a Beta Tester, Affiliate Partner, and member of the LaunchPad Sales Team. All compensation and sales-related payments to Participant will be made by Alpha LPad Enterprises, LLC, the operating entity for the LaunchPad platform.

3. Beta Access — Accelerator Plan

In consideration of Participant's obligations under this Agreement, the Company grants Participant complimentary access to the Accelerator Plan (retail value: $149/month), effective immediately upon execution of this Agreement.

• Investor Tools & CRM
• Priority Support
• All features included in Starter and Builder tiers

Complimentary access is valid for the duration of the beta period and subject to review upon public launch. The Company reserves the right to convert, extend, or adjust access terms with 30 days' written notice.

4. Beta Tester Responsibilities

As a Beta Tester, Participant agrees to:

• Actively use the LaunchPad platform and its features on a regular basis.
• Provide timely, honest, and constructive feedback on bugs, usability issues, and feature requests.
• Report any errors, crashes, or unexpected behavior through designated feedback channels.
• Participate in periodic check-ins or surveys as reasonably requested.
• Maintain confidentiality regarding unreleased features and proprietary platform information.

5. Affiliate Partnership

Participant is enrolled as an Affiliate Partner of LaunchPad. In this capacity:

• Participant will receive a unique referral link and/or code to share with prospective users.
• Participant earns a commission on each paying subscriber referred through their unique link, at the current affiliate rate (communicated in the Affiliate Dashboard).
• Commissions are paid monthly by Alpha LPad Enterprises, LLC for active, verified referrals who maintain paid subscriptions.
• Participant agrees to represent LaunchPad honestly and professionally in all referral activities.
• Affiliate terms are subject to the LaunchPad Affiliate Program Terms, incorporated by reference.

6. LaunchPad Sales Team Membership

Participant is recognized as a member of the LaunchPad Sales Team. In this role:

• Participant may actively prospect, pitch, and onboard new users and enterprise clients to the LaunchPad platform.
• Participant will receive sales support materials, talking points, and demo access to facilitate outreach.
• Sales commissions and incentives will be governed by a separate Sales Compensation Schedule issued by Alpha LPad Enterprises, LLC.
• Participant agrees to conduct all sales activities ethically and in compliance with applicable laws.
• Participant is an independent contractor, not an employee of Alpha LPad Enterprises, LLC, and is responsible for any applicable taxes on earnings.

7. Confidentiality

Participant agrees to keep all non-public information about LaunchPad and Alpha LPad Enterprises, LLC — including but not limited to platform features, business strategy, pricing, internal data, and investor information — strictly confidential during and after the term of this Agreement. Participant shall not disclose any such information to third parties without prior written consent.

8. Intellectual Property

All feedback, suggestions, and ideas provided by Participant during the beta period may be used by the Company without obligation or compensation unless otherwise agreed in writing. The Company retains all intellectual property rights to the platform and its content.

9. Term & Termination

This Agreement is effective as of the date signed and continues through the beta period unless terminated earlier. Either party may terminate this Agreement with 14 days' written notice. The Company may immediately terminate access if Participant materially breaches any term herein.

10. Disclaimers & Limitation of Liability

The LaunchPad platform is provided "as is" during the beta phase. The Company makes no warranties regarding uptime, accuracy, or fitness for a particular purpose. The Company's liability to Participant shall not exceed the total fees paid by Participant (if any) in the 3 months preceding any claim.

11. Governing Law

This Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration in Texas.
